Website service terms
These terms are for the paid website service. The terms for the business index, the Merchant Context Plugin and scheduler connections are at /terms. Questions go to support.
These terms are the agreement between Logged Off LLC (which runs Merchant Context; "we", "us") and the business that subscribes to our website service ("you"). By paying for the service you agree to them.
1. What the service is
For as long as you subscribe, we rebuild your business website, host it, keep it current and work to make it the one AI assistants and search engines name. The service has nine parts:
- Your website rebuilt, starting from the free homepage preview you approved.
- Continuous AI-search monitoring: we ask ChatGPT, Claude and Google the questions local customers ask and record whether you are named.
- Competitor analysis.
- Continual optimization of your site.
- Blog and on-page content.
- Reporting and analytics.
- A Google Business Profile audit with recommendations.
- Your public record made consistent across the places assistants read.
- Custom integrations and software for advanced optimization.
The free homepage preview comes first. The paid build starts when your first payment arrives.
Every page of your current site is carried over or redirected, so the search standing you have earned is kept.
Only facts we can verify from public records, your own documents or your written answers are published as facts. Anything we cannot verify is left out or clearly marked as your claim.
Changes to your site are proposed with their evidence and go live only after we approve each one. A weekly branded report tells you what went live, where you started and where you stand now.
Hosting, security certificates, technical upkeep and revisions when your business changes (hours, services, prices, staff, licence and insurance dates, answers you give us) are included.
The service does not include buying links, automated outreach, advertising or paid promotion, editing your Google Business Profile for you, or content published anywhere other than your own website.
2. Price and billing
The service costs $2,000 per month, month to month. There is no build fee and no contract term. Billing runs through Stripe: you pay in advance on the day you subscribe and on the same day each month after that.
If our price changes for you, we give at least 30 days' written notice first.
Paying does not affect how any business, including yours, is ranked or recommended anywhere. We sell the work, never the position.
3. Cancelling and refunds
You can cancel at any time, from the cancel link in your invoice email or by writing to support@merchantcontext.com. Cancellation takes effect at the end of the month you have already paid for. There are no refunds for partial months.
If we have not shown you a finished site within 30 days of your first payment, you can ask for that payment back in full.
If a payment fails, we tell you and try again. If it is still unpaid 14 days after the due date, the site goes offline until it is paid. Your domain and your content are never held.
When your subscription ends, the weekly research, proposals and reports stop. What happens to the live site follows section 4.
4. Who owns what
Your content is always yours. Your name, logo, photographs, licence numbers, reviews, prices and the answers you give us belong to you, and you can take them at any time.
The website we built is ours for the first 18 consecutive paid months. The design, code, page structure and the copy we write are our property while you subscribe, and stay ours if you cancel before you have paid for 18 months in a row. In that case the site comes down at the end of your last paid month and we give you the steps to point your domain wherever you choose. We do not transfer the site.
After 18 consecutive paid months the website is yours. If you cancel after that, we hand over a complete, working copy of the site at no charge, to you or to any host, developer or agency you name, and we help with the transfer for up to 30 days after your last paid month. The 18 months must be consecutive: a cancellation or a lapse in payment restarts the count.
What never transfers: the tools, data and systems we use to build and check sites, and our business index. They are not part of your site and are not needed to run it.
5. Your domain and email
You always control your domain name and your registrar account. We never take ownership of either. We give you the exact records to change, including your mail records, and walk you through the change on a call if you ask. We recommend keeping your old host live until we confirm the new site answers.
6. What you promise us
- You own, or have the right to use, everything you give us to publish.
- The facts you give us are true. If a fact cannot be verified, we may publish it marked as your claim, or leave it out.
- You tell us within a reasonable time when something on the site is no longer true.
- You do not ask us to publish anything unlawful, misleading, or that infringes someone else's rights.
You are responsible for content you provide. If a claim arises from it, you cover our reasonable costs of dealing with that claim.
7. What we promise, and what we do not
We build and run the site with reasonable skill and care, and fix faults we are responsible for promptly once we know about them.
We do not promise search rankings, placement in AI assistants, visitor numbers, leads or sales. We measure; we do not guarantee. Beyond the promises written here the service is provided as is, and we exclude any other warranty the law allows us to exclude.
Our total liability to you for anything arising from this agreement is limited to the amount you paid us in the 12 months before the claim. We are not liable for lost profits or indirect losses. Nothing here limits liability that cannot be limited by law.
8. Third parties
Your site is hosted on infrastructure we rent from third-party providers (today Vercel, Railway and GitHub), and payments are processed by Stripe. Their terms apply to their services. If a provider fails, we move your site to another with the least disruption we can manage.
9. The public index
Separately from this service, we keep a public business index built from public records. Your subscription does not change your entry, your ranking or how assistants use it. Corrections to your entry go through the same verification as everyone else's.
10. Changes to these terms
We may update these terms. We email you at least 30 days before a change takes effect. If you keep paying after that date, the new terms apply; if you do not agree, you can cancel before the change takes effect.
11. Governing law
This agreement is governed by the laws of the State of Florida. Any dispute is heard in the state or federal courts located in Palm Beach County, Florida. If any part of these terms is found unenforceable, the rest still applies. This is the whole agreement between us about the website service; it replaces any earlier discussion or quote.
